General Terms and Conditions for using the services of "SO Kartel"

General information
1. These General Terms and Conditions ("General Terms and Conditions") govern the terms and conditions under which "SO Kartel" OOD lets virtual office space, shared use workspace, as well as the provision of additional services related to the use of the shared workspace. Within the meaning and for the purposes of these General Terms and Conditions, a "shared use workspace" means an open work space in which one or more tenants (hereinafter referred to as "Customers") can rent single or team work places on a daily basis and monthly basis. "Virtual office space" means the opportunity to use a business address, postal and telephone services.
2. The workspace is located at 9 “University Park” St., entrance 1, store 4, Sofia, 1700, 1700.
3. The services will be provided to both individuals and legal entities.
4. For the purposes of these General Terms and Conditions SO KARTEL OOD will be shortly referred to as "SO KARTEL".
Types of services offered
1. SO KARTEL offers the following services: virtual office space rental, rental of shared office space, including WIFI; provision of halls for seminars and meetings (conference halls) for rent; SO KARTEL also offers the following supporting/ auxiliary services:
  - intermediation in the selection of external consultant services (legal, financial, accounting, etc.)
  - consultancy services
  The provision of supporting/ auxiliary services is regulated by an additional agreement between SO KARTEL and the user.
2. SO KARTEL offers its services in packages (hereinafter "Packages") determined according to the type of services included and the term of their use. Except as expressly provided for in these General Terms and Conditions, SO KARTEL offers its services only as part of the packages listed below and the services cannot be provided on their own.
3. As at the date of these General Terms and Conditions SO KARTEL offers the following Packages:
  1. VIRTUAL ADDRESS
    - Rent of an administrative address for company headquarters.
    - Rent of an administrative address for correspondence with the National Revenue Agency, the National Social Security Institute and other government agencies (receipt / forwarding of official correspondence, letters and invitations).
  2. VIRTUAL ADDRESS PLUS
    - Rent of an administrative address for company headquarters.
    - Rent of an administrative address for correspondence with the National Revenue Agency, the National Social Security Institute and other government agencies (receipt / forwarding of official correspondence, letters and invitations).
    - Answering Machine and assistance (a local telephone number and an office assistant are provided to take care of all incoming calls and queries).
    - Business correspondence with clients, suppliers, partners (receipt / forwarding of official correspondence, letters, invitations and brochures).
  3. BUSINESS HALL
    - Rent of an administrative address for company headquarters.
    - Rent of an administrative address for correspondence with the National Revenue Agency, the National Social Security Institute and other government agencies (receipt / forwarding of official correspondence, letters and invitations).
    - Answering Machine and assistance (a local telephone number and an office assistant are provided to take care of all incoming calls and queries).
    - Business correspondence with clients, suppliers, partners (receipt / forwarding of official correspondence, letters, invitations and brochures).
    - Possibility to book a conference hall for unlimited time. Queries are processed on a first-time first-served basis.
    - Business catering (access to WIFI, coffee, food and beverages for up to 4 participants). For each additional participant, 5 BGN will be charged. )
  4. SHARED OFFICE SPACE
    - Rent of an administrative address for company headquarters.
    - Rent of an administrative address for correspondence with the National Revenue Agency, the National Social Security Institute and other government agencies (receipt / forwarding of official correspondence, letters and invitations).
    - Answering Machine and assistance (a local telephone number and an office assistant are provided to take care of all incoming calls and queries).
    - Business correspondence with clients, suppliers, partners (receipt / forwarding of official correspondence, letters, invitations and brochures).
    - Possibility to book a conference hall for unlimited time. Queries are processed on a first-time first-served basis.
    - Business catering (access to WIFI, coffee, food and beverages for up to 4 participants). For each additional participant, 5 BGN will be charged.)
    - Opportunity to book one work place with WIFI access, telephone, scanner, printer, office consumables.
4. Each workstation is equipped with a work desk, chair, electricity, lighting and wireless internet (WIFI).
5. When renting a workplace as part of the SHARED OFFICE SPACE PACKAGE, the contract entitles you to use only a workplace that is free at the time the Customer takes, it but does not entitle you to use a specific place for the duration of the contract.
6. The right to limited use of printing and copying services includes the right to print and / or copy up to 50 black and white pages and up to 10 color pages. The printing or copying of additional pages shall be paid according to the prices indicated in the Tariff in the "Additional Services" section.
7. Where the selected Package includes "Post Address", SO KARTEL ensures the Customer with the opportunity to receive correspondence and shipments addressed to him and to temporarily store them until they are received by the Customer. In the provision of this service, SO KARTEL undertakes only to receive the shipment, to notify the Customer personally or by e-mail within one business day of receipt of the shipment, and its sender (if any) and to store the shipment until its delivery to the Customer (in person or by an authorized representative). If the shipment is not accepted by the Customer for a period of up to 1 month, SO Kartel is entitled to forward items and correspondence that are not requested by the Customer within the specified period, to the Customer's address specified in the Place order, and shall not be held responsible for the delivery or condition of the shipments. Any customer benefiting from the Postal Address service explicitly accepts and is deemed to be informed that SO KARTEL is obliged to accept all items and correspondence sent to its address, and that in certain cases this may be considered the official date on which messages and notifications have been served to the customer. SO CARTEL is not liable for terms expired or omitted by the Customer insofar as he has promptly advised the latter of the receipt of the respective shipment.
Terms of access
1. The customers of SO KARTEL have the right to access the workspace within the official opening hours: Monday to Friday from 9:00 to 20:00
2. In case of unlawful use of the site outside the conditions described in paragraph (1) or actions resulting in extra costs to SO KARTEL in connection with the security or safety of the building, the Customers bears sole responsibility for the incurred costs or damages
3. In the event of late payment by the Customer, SO KARTEL may restrict or prohibit the Customer access to the office space.
Conclusion of a contract
1. Before entering into a service agreement (hereinafter referred to as a "Rent Agreement"), any potential customer must submit a "Rent Request" form (the "Request") duly signed by him or his representative. Each Request should have the following minimum content:
  1. Name of the customer;
  2. For customers - legal entities or sole traders - UIC and VAT number, and for natural persons - PIN;
  3. Preferred Service Package;
  4. Term of use of the Package;
  5. Initial date of use of the Package.
2. The rent agreement may be concluded electronically or on paper. The conclusion of the contract in electronic form does not require the use of a qualified electronic signature and is done by sending and accepting a Rent Request electronically.
3. The electronic submission of a "Rent Request Form", stating the Customer's Preferred Package(s) and Additional Services is considered as a proposal by the Customer to SO KARTEL for the conclusion of contract for the respective Package under the terms and conditions set forth in these General Terms and Conditions. The Service Agreement of SO KARTEL is deemed to have been concluded on the date of acceptance by SO KARTEL of the validly signed Request Form (hereinafter "Contract Date"). SO KARTEL is deemed to have accepted the Received request if SO KARTEL has not explicitly rejected it within 1 (one) business day of its receipt.
4. These General Terms and Conditions are an integral part of the Rent Agreement and are published and freely available on the website of SO KARTEL. By signing the Request, the Customer declares that he is familiar with them and accepts them in full. Before, at or after signing a Rent Agreement, the customer is entitled to ask SO KARTEL to be provided with these General Terms and Conditions on a paper carrier, without paying any fees or costs. In this case, SO KARTEL is entitled to require the Customer to provide a signed copy of the General Terms and Conditions as a proof of their receipt.
5. The request may be signed on paper and delivered to SO KARTEL at the address indicated in §1 (2) above or be signed and sent via the website operated by SO KARTEL. The confirmation of an online "Request for Place" by a Customer is considered an electronic signature within the meaning of Art. 13 para. 1 of the Electronic Document and Electronic Signature Act. No additional charges shall be paid for submitting a Request electronically.
6. The Customer undertakes to provide correct and accurate data when filling in the request. If the applicant is a legal entity, the request should be signed by a legal representative or duly authorized person. In the event that the request is signed by a legal representative or a proxy, it will be deemed to be validly signed only if it is accompanied by a prima facie evidence of the representative power of the signatory. Upon the occurrence of any changes to the Customer data specified in the Request, the Customer is obliged to notify SO KARTEL immediately of the changes in question.
7. Upon receipt of a signed Request, SO KARTEL may, at its discretion, refuse to conclude a contract without the need to state the reasons thereof. SO CARTEL may exercise this right within one business day of receipt of the signed Request.
8. The Customer is entitled, upon signing the Request, to indicate the day on which he would like to take the places rented ("Start date of the rent"). The starting date of the rent may be no earlier than one business day from the date of the rent agreement and no later than 1 month from the date of the rent agreement.
Prices and payment method
1. The prices of the services offered by SO KARTEL are listed in the Tariff of the prices of products and services offered by SO KARTEL (the "Tariff"). The Tariff is attached as Appendix 1 to these General Terms and Conditions and forms an integral part thereof.
2. All prices listed in the Tariff are without tax and apply only to the Packages listed in the Tariff. Any Additional Services not explicitly included in the Package are subject to additional charges.
3. The customer pays the amounts due via bank transfer to the account of SO KARTEL. All bank charges payable for the bank transfer shall be covered by the Customer.
4. The obligation for payment of the price due arises from the Contract Date. The amount must be paid within 15 days of receiving an invoice or a proforma invoice. In cases where, according to §5 (3) above, the Customer has chosen to pay the price due in monthly installments, the payout period starts from the first day of the respective month. For the purposes of these General Terms and Conditions, the first day of the month in respect of a certain contract is the Starting Date of the rent.
5. In the case of late payment of the price due within the period specified in §5 (4) above, the Customer owes a penalty of 0.07% of the amount due for each day of delay. The payment of the penalty does not preclude the right of SO KARTEL to seek redress for the actual damage suffered by the late payment, if it exceeds the amount of the penalty paid.
6. SO KARTEL reserves the right to offer additional or individual discounts to certain customers or groups of customers.
Termination of the contract
1. The contracts for each of the Packages offered by SO KARTEL are time-bound and are terminated upon expiration of the term for which they have been concluded.
2. Each of the parties is entitled to terminate the contract unilaterally by giving written notice to the other party at least 30 (thirty) days earlier.
3. The notice of termination of a contract is considered to be valid if it is signed personally by the Customer or his duly authorized representative. The notice of termination can be signed on paper and delivered to the SO KARTEL registered address or sent electronically, which does not require the use of a qualified electronic signature.
4. Both parties are entitled to terminate their contractual arrangements at any time by mutual consent, without indicating the reasons thereof.
5. SO KARTEL has the right to unilaterally terminate and / or cancel any Rent Agreement, if the Customer has breached the terms of the relevant agreement and has not eliminated the violation and / or remedied the consequences of the violation within the term provided by SO KARTEL. SO KARTEL has the right to terminate any contract after sending a 7 (seven)-day written notice, if the Customer: (a) has delayed the payment of any amounts due to SO KARTEL under these General Terms and Conditions by more than 20 (twenty) days from the expiration date; or (b) violates § 11 (2) below.
Privacy statement
1. SO KARTEL processes and stores personal data for its clients in accordance with the requirements of the Personal Data Protection Act and the applicable by-laws.
2. By concluding the Rent Agreement with SO KARTEL, each Customer is deemed to have agreed to the provision of his personal data necessary for the conclusion and execution of the relevant contract with SO KARTEL. The Customer expressly agrees that its personal data will be used to verify its creditworthiness in accordance with the applicable procedures in Bulgaria.
Rights and obligations of the customers
1. Upon the conclusion of a contract for the SHARED OFFICE SPACE PACKAGE, the Customer is entitled to bring his own furniture, items, equipment and periphery with the prior consent of SO KARTEL. For all other Packages, the Customer does not have the right to bring their own furniture and equipment (except for personal computers) into the Shared Workspace.
2. The customer is not entitled to sublet his place to third parties or transfer his rights and obligations under the contract with SO KARTEL to third parties without the prior written consent of SO KARTEL.
3. The customer is not permitted to make changes to the shared workplaces, except with the prior written consent of SO KARTEL and in compliance with the applicable regulations. All costs associated with such changes shall be covered by the Customer. SO KARTEL has the right to condition such changes to the workspace to the submission of a deposit by the Customer, which would cover the cost of restoring the workplace in its original form, if necessary.
4. After the contractual relationship has expired, the customer is required to hand over the work space rented in its original form, except as otherwise explicitly agreed by SO KARTEL in writing. The customer is not entitled to compensation for the improvements or changes made, even if SO KARTEL does not require the original appearance of the workspace to be restored.
5. SO KARTEL reserves the right to make any type of construction and structural changes necessary to maintain and expand the building or to a specific workplace, and to remove any damage or hazards within a reasonable period of time coordinated with the Customer. If such circumstances arise, the Customer undertakes, if necessary, to provide the work space he uses. SO KARTEL undertakes to take all measures needed to ensure uninterrupted use of the services paid by the Customer. Any costs incurred by the customer as a result of such reconstruction and repair works will be covered by him (replacement costs, delay or loss). The prices fixed are not subject to change. SO KARTEL does not owe damages unless the right to use the workspace or the other services offered is impeded for an unjustifiably long period or the use of the workplace becomes impossible.
6. SO KARTEL offers its customers a range of equipment (telephone sets, printers, faxes) and other furniture in a fully operational condition. Such equipment is regularly tested, their functionality is maintained regularly, and their use by the customer must be consistent with their intended purpose. Any unauthorized use is prohibited. Damages resulting from unauthorized use shall be covered by the customer.
7. The customer must promptly notify SO KARTEL upon changes in the address of its headquarters.
Customers’ behavior on the Internet
1. The Customer undertakes to comply with all applicable laws and regulations relating to the dissemination of information. The customer is fully responsible for their actions, including when using Internet access through the SO KARTEL network.
2. The Customer is required to comply with all legal restrictions on the transfer, storage, processing and presentation and / or provision of information. The Customer is required to comply with all applicable laws and regulations related to the protection of intellectual and / or industrial property. Copying, distributing or downloading copyrighted music and / or movies and / or other copyrighted sites without a corresponding license is prohibited. In the event of a breach of §10 (2) resulting in damage to SO KARTEL, the Customer shall indemnify SO KARTEL for all damages caused, including but not limited to all legal and other costs suffered by SO KARTEL in connection with the protection of its rights and legitimate interests.
Responsibility of SO KARTEL
1. The customer has the right and the obligation to inspect the work places upon occupying them. By signing a Contract for a Shared Office Space Package, the Customer declares that he is aware that the workplaces are located in a common open space / office and are not subject to separation or individualization. The Customer has the right to object to the state of the occupied place / places upon taking them. In the event that KARTEL has not received any objection regarding the Customer's workplace on the Starting Date of the rent, it is considered that the Customer has accepted the workplace in a good state and without any objections. The Customer is solely responsible for its condition throughout the term of the rent agreement.
2. SO KARTEL shall not be held liable for damages suffered by the Customer within the term of the rental agreement, unless such damage results from gross negligence or willful misconduct on the part of SO KARTEL, any of its agents or employees. In any case, the liability of SO KARTEL is limited to damages which are a direct and immediate result of an act, for which SO KARTEL is liable, and damages that could have been foreseen upon the conclusion of the rent agreement. SO CARTEL is not liable for any lost profits or indirect damages.
3. SO KARTEL shall not be held liable for any violation of third parties' intellectual property rights resulting from the Customer's actions, as well as in the case of the dissemination of personal data and / or confidential information by the Customer. The Customer is solely responsible for all violations of competition, copyright, trademarks, personal data, business secrets, and other matters associated with its use of the work space provided by SO KARTEL.
4. In the event that as a result of a breach carried out by the Customer, SO KARTEL is held liable, the Customer undertakes to indemnify SO KARTEL for any damage suffered by SO KARTEL in that regard. The Customer is obliged to refund all costs incurred by SO KARTEL, including damages and fines, lawyers' fees, state fees and any other costs incurred in protecting SO KARTEL's rights and legitimate interests.
5. SO KARTEL is not responsible for the content or status of shipments delivered to the Customers at the address of SO KARTEL. SO KARTEL will not be held liable in case it cannot receive any piece of correspondence addressed to the Customer due to the request of the sender of the correspondence to hand it in person or to an authorized representative. In this case, the Customer is required to ensure the presence of an authorized representative to receive the relevant shipment.
Vacation of the space by the customer
1. The Customer undertakes to use in good faith and to take due care of the property provided by SO KARTEL, as well as to restore it to the condition, in which it was handed over initially, upon vacating the workspace. In the event of any damage, loss or absence of any of the items entrusted to him, the customer undertakes to restore the missing items or restore the damaged items in their previous form.
2. Upon termination of the contract, the Customer is required to vacate the rented work space. If the Customer fails to fulfill this obligation or delays its performance, SO KARTEL has the right to consider the relevant place free and remove the customer’s belongings. Any abandoned property will be stored by SO KARTEL at the Customer's expense, unless it is removed after a warning has been issued.
3. If the Customer does not vacate the workspace on time, he is required to pay to SO KARTEL a delay compensation of [BGN 25] for each day of delay.
Final provisions
1. SO KARTEL has the right to amend these General Terms and Conditions at any time. SO KARTEL undertakes to inform the Customer in due time about the amendments made. In the event that the Customer does not explicitly express written disagreement with the changes made within 14 days of the notification under the preceding sentence, the Customer shall be deemed to have accepted the relevant amendments to the General Terms and Conditions.
2. All notifications and documents to be served or provided by the customer to SO KARTEL under or in connection with the conclusion and / or performance of the Rent Agreement, shall be served at the address of the shared workspace. All notifications and documents to be served or provided by SO KARTEL to a Customer are deemed validly received if they are (a) delivered personally or (b) sent to the mailing address of the Customer specified in the rental request signed. The notifications under §9 (2) or §9 (6) are deemed to be validly served upon their publication on the website of SO KARTEL and / or upon their placement on the message board in the shared workspace.
3. Contracts concluded under these General Terms and Conditions are subject to the Bulgarian law. Any outstanding matters shall be governed by the provisions of the applicable Bulgarian legislation.
4. All disputes between the parties shall be resolved by mutual consent and, failing that, the parties agree that any disputes arising under this contract shall be resolved by the competent Bulgarian courts.
5. In the event that any clauses or parts of these General Terms and Conditions are pronounced invalid, this will not invalidate these General Terms and Conditions in their entirety and or the contract concluded with the Customer. In such cases, the parties undertake to negotiate and introduce, as soon as possible, new legally binding ones that are close to the interests of both sides.

Tariff for the products and services offered by SO KARTEL:

VIRTUAL OFFICE PACKAGE
- 120 ( one hundred and twenty ) leva monthly fee.
VIRTUAL OFFICE PLUS PACKAGE
- 140 ( one hundred and forty ) leva monthly fee.
BUSINESS HALL PACKAGE
- Main package - 160 ( one hundred and sixty ) leva monthly fee.
- Conference hall booking - 20 ( twenty ) leva per hour.
- Additional participant - 5 ( five ) leva per hour.
SHARED OFFICE SPACE PACKAGE
- Main package - 180 ( one hundred and eighty ) leva monthly fee.
- Conference hall booking - 20 ( twenty ) leva per hour.
- Booking of one work place - 20 ( twenty ) leva per hour.
- Additional participant - 5 ( five ) leva per hour.

UPON CONCLUSION OF A 12 – MONTH CONTRACT THE CUSTOMER IS PROVIDED WITH A 10% DISCOUNT FROM THE ENTIRE SERVICE VALUE UNDER THE CONTRACT.
